FARNELL ELEMENT14 – SITE TERMS AND CONDITIONS

  1. 1. DEFINITIONS
    1. 1.1In these Conditions the following expressions will have the followings meanings: “Conditions” means these terms and conditions
      “Contract” means any contract between You and Us for the sale and purchase of Goods online formed in accordance with condition 8.2 including the Conditions and the Order
      “Descriptions” has the meaning set out in condition 4.1
      “Dispatch Confirmation” has the meaning set out in condition 8.3
      “Event Outside Our Control” has the meaning set out in condition 19
      “Goods” means any goods supplied or to be supplied by Us to You under the Contract
      “RMA” has the meaning set out in condition 14.7
      “RoHS” means Directive 2002/95/EC on the Restriction of the Use of Certain Hazardous Substances in Electrical or Electronic Equipment
      “Order” means Your Order for Goods which is made in accordance with these Conditions
      “Order Confirmation” has the meaning set out in condition 7.5
      “We/Us/Our” is as defined in condition 3
      “Working Day” means a day that is not a Saturday, Sunday or public or bank holiday in England and/or Wales
      “You/Your” means the person(s) whose Order for Goods is accepted by Us
    2. 1.2You may have other rights granted to You by law in addition to those set out in these Conditions, which We may not exclude. Where appropriate, We have set out Your rights under these laws. These Conditions do not affect those other rights granted by law.
  2. 2. INFORMATION ABOUT THESE CONDITIONS
    1. 2.1These Conditions apply to any Contract between You and Us for the sale of Goods to You. Please read these Conditions carefully and make sure that You understand them, before ordering any Goods from Our site. Please note that before placing an Order you will be asked to agree to these Conditions. If You have any questions about them, please contact Us at RaspberryQueryUK@farnell.com or on +44 (0) 113 348 5450 (international charges will apply from mainland Europe) before continuing.
    2. 2.2Please click on the button marked "I Accept" which appears on our Site alongside these Conditions if you accept them. By clicking on the button marked “I Accept” You are confirming that you have received these Conditions and that you accept them. If You refuse to accept these Conditions, you will not be able to order any Goods from Our site.
    3. 2.3You should print a copy of these Conditions or save them to your computer for future reference.
    4. 2.4We amend these Conditions from time to time as set out in condition 9. Every time You wish to order Goods, please check these Conditions to ensure You understand the conditions which will apply at that time. These Conditions were most recently updated in October 2012.
    5. 2.5These Conditions, and any Contract between us, are only in the English language, unless otherwise provided in accordance with applicable law.
  3. 3. INFORMATION ABOUT US
    1. 3.1We are Farnell element14, a trading division of Premier Farnell UK Limited, a company registered in England and Wales at Companies House. Our registered office is at 150 Armley Road, Leeds, West Yorkshire, LS12 2QQ, UK and our registered number is 00860093. We operate from Canal Road, Leeds, West Yorkshire, LS12 2TU, UK. Our VAT number is 169680322.   4. 4. OUR GOODS
    1. 4.1All specifications, drawings, illustrations, descriptions and particulars of weights, dimensions, capacity or other details (together the “Descriptions”) wherever they appear (including without limitation on our site, on data sheets, application notes, despatch notes, invoices or packaging) are intended to give a general idea of the Goods. Your Goods may differ slightly from the Descriptions. We shall take all reasonable steps to ensure the accuracy of Descriptions but as We may rely on information provided to Us by Our suppliers, there may sometimes be some discrepancies.
    2. 4.2The images of the Goods on our site are for illustrative purposes only. Although We have made every effort to display the colours accurately, We cannot guarantee that Your computer's display of the colours accurately reflect the colour of the Goods. Your Goods may vary slightly from those images.
    3. 4.3The packaging of the Goods may vary from that shown on images on Our site.
    4. 4.4All Goods shown on Our site are subject to availability. We will inform You by e-mail as soon as possible if the Goods You have ordered are not available and we will not process Your Order if made.
  5. 5. USE OF OUR SITE
    Your use of our site is governed by our Privacy Policy and Terms of Access. Please take the time to read these, as they include important terms which apply to you.
  6. 6. QUALITY ASSURANCE
    1. 6.1All Goods detailed on Our site have been processed in strict accordance with standard quality procedures approved to BS EN ISO 9001:2008, unless indicated otherwise on the Dispatch Confirmation.

  7. 7. STEPS TO PLACE YOUR ORDER
    You can place Your Order by taking the following steps:
    1. 7.1Our site displays Our Goods and details in relation to those Goods. You should review the information provided on Our site carefully and consider whether you would like to place an Order. If You would like to place an Order, please select the quantity of Goods You would like to Order and then press the “Proceed” button to proceed to the next stage.
    2. 7.2Once You have taken the steps set out in the above condition 7.1, You will automatically proceed to a page containing details of the Goods You have selected, including the price (including VAT/sales tax at the prevailing rate appropriate to the country of receipt if applicable), applicable delivery charges (if any) and the quantity of Goods ordered. At this stage, You will be able to make any changes to Your Order that You require. Once You are satisfied with all of the information on this page, please press the “Proceed” button to proceed to the next stage.
    3. 7.3Once You have taken the steps set out in the above condition 7.12, You will automatically proceed to a page where You will be asked to provide Your contact details (please see condition 18 for more information on how your personal information is used) and payment card details (please see condition 12 for more information on payment). At this stage, You will be able to go back, if required, and make changes to Your Order. Otherwise, You will be asked whether You accept these Conditions and Our Privacy Policy. If You have read these fully and accept these, You should click the “I accept” box and then press the “Submit Order” button (please see condition 2 for more information on accepting these Conditions).
    4. 7.4Once You have taken the steps set out in the above condition 7.3, You will automatically proceed to an Order confirmation page which shall contain details of Your Order reference number and provide You with an option to print the page.
    5. 7.5Once You have taken the steps set out in the above condition 7.34, You will also get an email from Us acknowledging that We have received Your Order and containing Your Order reference number, as well as other important information relevant to Your Order (“Order Confirmation”).
  8. 8. HOW THE CONTRACT IS FORMED BETWEEN YOU AND US
    1. 8.1Please check that the details on Your Order are complete and accurate, before You submit the Order. Our Order process allows you to check and amend any errors before submitting Your Order to Us. Please take the time to read and check Your Order at each page of the Order process.
    2. 8.2After you place an Order, You will receive an Order Confirmation. However, please note that this does not mean We have accepted Your order for Goods. Our acceptance of the Order will take place as described in condition 8.3. If We are unable to supply You with the Goods, We will not process the Order, but we will let you know if this is the case, in accordance with condition 4.4.
    3. 8.3We will confirm Our acceptance to You by sending You an e-mail that confirms that the Goods have been dispatched (“Dispatch Confirmation”). The Contract between Us will only be formed when We send You the Dispatch Confirmation.
    4. 8.4If You discover You have made a mistake with Your Order please contact RaspberryQueryUK@farnell.com or call +44 (0) 113 348 5450 (international charges will apply from mainland Europe) immediately. Please do this before We accept Your Order as described in condition 8.3. After this time, You will only have the right to cancel described at Condition 14 below.
    5. 8.5We will keep a copy of the Contract formed between Us, which will be accessible by Us.
  9. 9. CHANGES TO THESE CONDITIONS
    1. 9.1We have the right to revise and amend these Conditions from time to time to reflect changes in market conditions affecting Our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in Our system's capabilities. You will be subject to the policies and terms in force at the time that You order the Goods from Us, unless any change to those policies or these Conditions is required by law or government or regulatory authority in which case it will apply to orders You have previously placed that We have not yet fulfilled. Please check these Conditions each time you place an Order to check whether any changes have been made since your last visit.
    2. 9.2We may make changes to the Goods as part of a continuous programme of improvement or to comply with legislation. We would recommend that You regularly check Our site for the latest descriptions of the Goods, in particular, but without limitation, with regard to statements regarding RoHS.
  10. 10. ORDERS
    1. 10.1We reserve the right to decline to trade with any person
    2. 10.2Where the law requires a minimum age for the purchase of certain Goods, You confirm that You are of, or above, that minimum age and that delivery of the Goods will be accepted by You, or a person of or above that minimum age.
  11. 11. PRICES
    1. 11.1Prices for the Goods will be set out on Our site in force at the time You submit Your Order. We take all reasonable care to ensure that the prices of Goods are correct at the time when the relevant information was entered onto the system. However if We discover an error in the price of Goods you ordered, please see condition 11.5 for what happens in this event.
    2. 11.2Our prices may change at any time but price changes will not affect Orders that You have submitted with You in accordance with condition 7.3 and 8.21.
    3. 11.3Prices for Goods are in pounds sterling and include VAT/sales tax (at the prevailing rate appropriate to the country of receipt if applicable). If the rate of VAT/sales tax changes between the date of the Order and the date of delivery or performance, We will adjust the rate of VAT/sales tax that You pay, unless You have already paid in full for the for the Goods in full before the change in the rate of VAT/sales tax takes effect.
    4. 11.4Delivery charges may be payable in addition to the price in accordance with condition 13 and where payable shall be added to the total amount due.
    5. 11.5It is always possible that, despite Our best efforts, some of the Goods We sell may be incorrectly priced. We will normally check prices as part of Our dispatch procedures so that:
      1. 11.5.1where the Goods’ correct price is less than the price stated on Our site, We will charge the lower amount when dispatching the Goods to You. However, if the pricing error is obvious and unmistakeable and could have reasonably been recognised by You as a mispricing, We do not have to provide the Goods to You at the incorrect (lower) price; and
      2. 11.5.2if the Goods’ correct price is higher than the price stated on Our site, we will contact You in writing as soon as possible to inform You of this error and We will give You the option of continuing to purchase the Goods at the correct price or cancelling Your Order. We will not process Your Order until we have Your instructions. If We are unable to contact You using the contact details you provided during the order process, We will treat the Order as cancelled and notify You in writing.
  12. 12. HOW TO PAY
    1. 12.1You can only pay for Goods using a debit card or credit card. We accept the following cards: Visa (not Visa Electron); Mastercard; and Amex.
    2. 12.2Upon receiving Your Order, we carry out a standard pre-authorisation check on Your payment card to ensure there are sufficient funds to fulfil the transaction. We will not charge Your debit card or credit card until this pre-authorisation check has been completed and satisfied and until We dispatch Your Order.
    3. 12.3Our site is designed to deliver the best possible secure on-line shopping experience to Our customers, and features safe and encrypted transactions authenticated by Verisign.
    4. 12.4For the avoidance of doubt, a Contract is not formed at the point in time that payment has been taken from you by Us. A Contract will only be formed once you receive our Dispatch Confirmation. We will not process an Order until card authorisation is successful.
  13. 13. DELIVERY OF GOODS
    1. 13.113.1 Please note that timescales for delivery and delivery charges may vary depending on the availability of Goods and Your address.
    2. 13.2Your delivery destination must be in the same country as the country of origin that You have selected on Our site (for example, if Your selected county is the UK, Your delivery destination must be in the UK, and if Your selected country is France, Your delivery destination must be in France). We only deliver to the countries listed in condition 13.8.
    3. 13.3Our delivery dates (including those detailed below in condition 13.8 are estimated. Occasionally Our delivery to You may be delayed for a number of reasons, including if We need to perform any necessary credit or anti-fraud checks or procedures, to ensure that payment has been received in cleared funds in full, or because of an Event Outside Our Control. Where delivery is delayed for such reasons, We will use reasonable efforts to inform You.
    4. 13.4Delivery will be made to the address specified by You in Your Order. We sub-contract the delivery of Goods to You to a third party. Also, we reserve the right to arrange delivery of Goods directly from the manufacturer or supplier of those Goods to You. Delivery of an Order shall be completed when the Goods are delivered to the address You gave Us.
    5. 13.5If no one is available at Your address to take delivery, please contact Our third party sub-contractor to rearrange delivery.
    6. 13.6The Goods will be Your responsibility from the completion of delivery.
    7. 13.7You own the Goods when We have received payment in full.
    8. 13.8The table below contains details of the delivery options applicable to You (please note that the delivery times set out in below are subject to conditions 13.1 and 13.3 above):

  14. 14. YOUR CANCELLATION RIGHTS AND REFUND RIGHTS
    Your statutory right to cancel a Contract within 7 Working Days
    1. 14.1As a consumer, You have a legal right to cancel a Contract without giving a reason during the period set out below in condition 14.2. This means that during the relevant period if You change Your mind or for any other reason You decide You do not want to keep Goods, You can notify us of Your decision to cancel the Contract and receive a refund. Nothing in these Conditions will affect these legal rights.
    2. 14.2Your legal right to cancel a Contract starts from the date We confirm Your Order has been accepted in accordance with condition 8.3, which is when the Contract between Us is formed, and ends on the expiry of 7 (seven) Working Days (or 10 Working Days if You are located in Italy and 10 Days if You are located in Germany) beginning with the day after the day on which You receive the Goods.
    3. 14.3Unfortunately, You will not be able to cancel Your Order in accordance with this condition if the Goods supplied under the Contract are software and You have unsealed the packaging of the software (but this will not affect Your legal rights as a consumer in relation to software that is faulty or not as described).
    4. 14.4Details of Your legal right to cancel and an explanation of how to exercise it are provided in the Dispatch Confirmation.
      Your right to cancel a Contact within 21 calendar days
    5. 14.5As well as Your statutory cancellation rights described above at condition 14, We operate a 21 day return policy. This means that once Your legal rights under condition 14.1 have expired, You still have the right to cancel Your Contract subject to condition 14.6 and 14.8.4. To be accepted for return on this basis, You should notify Us of Your decision to cancel the Contract and receive a refund within 21 calendar days of the Dispatch Confirmation. Also, if Goods have been delivered, they should be returned to Us for receipt within 21 calendar days of the Dispatch Confirmation.
    6. 14.6Unfortunately, You will not be able to cancel Your Order in accordance with this condition if the Goods supplied under the Contract are software and You have unsealed the packaging of the software (but this will not affect Your legal rights as a consumer in relation to software that is faulty or not as described).
      How you cancel Your Contract
    7. 14.7To cancel a Contract, please contact Us on +44 (0) 113 348 5450 (international charges will apply from mainland Europe) or at RaspberryQueryUK@farnell.com or by post at Canal Road, Leeds, West Yorkshire, LS12 2TU, UK. You may wish to keep a copy of Your cancellation notification for Your own records. We will provide you with a returns authorisation number (“RMA”) which You should quote when returning the Goods. For more information on returning Your Goods see condition 14.8.
      Returning Goods to Us
    8. 14.8If the Goods were delivered to You:
      1. 14.8.1You must return the Goods to Us as soon as reasonably practicable and in accordance with condition 14.8;
      2. 14.8.2unless the Goods are faulty or not as described, You will be responsible for the cost of returning the Goods to Us;
      3. 14.8.3You have a legal obligation to keep the Goods in Your possession and to take reasonable care of the Goods while they are in Your possession; and
      4. 14.8.4if you are exercising your right to cancel under condition 14.5, please take reasonable care to return the Goods to Us in their original and undamaged packaging. If you are exercising your right to cancel under condition 14.5 and your statutory cancellation rights have expired, then you must return the Goods to Us in their original and undamaged packaging otherwise we may not accept Your return.
    9. 14.9You should return the Goods to “The Returns Department, Farnell International Distribution Centre, Castleton Road, Leeds, LS12 2EN” clearly quoting the RMA, Your account number (if applicable) and Order number on the outside of the package.
      Refunding your payment
    10. 14.10If You have cancelled Your Contract in accordance with conditions 14.1 or 14.5, then subject to condition 14.8, You will receive a full refund of the price You paid for the Goods and in the case of cancellation under condition 14.1 any applicable delivery charges You paid for. We will process the refund (including any applicable delivery charges) due to You as soon as possible and, in any case, within 30 calendar days of the day on which You gave Us notice of cancellation as described in condition 14.7.
    11. 14.11We will refund You on the credit card or debit card You used to pay.
    12. 14.12Please refer to condition 16 for Your rights in relation to Goods which do not conform with Our warranty under condition 16. These rights are in addition to Your rights under this condition 14.
    13. 14.13As a consumer, You will always have legal rights in relation to Goods that are faulty or not as described. These legal rights are not affected by the returns policy in this condition 14 or these Conditions.
  15. 15. THIRD PARTY MANUFACTURER’S GUARANTEE OF GOODS
    1. 15.1We will make reasonable efforts to transfer to You the benefit of any guarantee given by the manufacturer of Goods. For details, please refer to the manufacturer’s guarantee provided with the Goods.
    2. 15.2This guarantee is in addition to Your legal rights in relation to the Goods that are faulty or not as described. Nothing in these Conditions will affect these legal rights.
  16. 16. OUR WARRANTY FOR GOODS PROVIDED
    1. 16.1In connection with the Goods, we provide a warranty that, on delivery, and for a period of 12 months from delivery, the Goods shall be free from material faults. However, this warranty does not apply in the circumstances described in condition 16.2.
    2. 16.2The warranty in condition 16.1 does not apply to any fault in the Goods arising from:
      1. 16.2.1fair wear and tear;
      2. 16.2.2wilful damage, abnormal storage or working conditions, accident, negligence by You or by any third party; or
      3. 16.2.3if You fail to use the Goods in accordance with the user instructions or in accordance with the generally accepted use for such Goods.
    3. 16.3If Your Goods do not comply with the warranty set out in condition 16.1, please return the Goods to us in accordance with conditions 14.8 and 14.9, and We will either:
      1. 16.3.1provide You with a full or partial refund, depending on what is reasonable; or
      2. 16.3.2supply You with replacement Goods (as applicable).
    4. 16.4Where condition 16.3.1 applies, We will reimburse You on the credit card or debit card used by You to pay for your faulty Goods and we will also reimburse You for any applicable delivery charges You paid for in connection with the original delivery of the Goods to You. This does not affect your legal right of cancellation under condition 14.1 or Your rights of cancellation under condition 14.5.     5. 16.5These Conditions will apply to any replacement Goods We supply to You.
    6. 16.6This warranty is in addition to your legal rights as provided by applicable local or EU laws in relation to Goods that are faulty or not as described. Nothing in these Conditions will affect these legal rights.
  17. 17. OUR LIABILITY TO YOU
    1. 17.1If We fail to comply with these Conditions, We are responsible for loss or damage You suffer that is a foreseeable result of Our breach of these Conditions or Our negligence, but subject to condition 17.3, We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if they were an obvious consequence of Our breach or if they were contemplated by You and us at the time we entered into the Contract.
    2. 17.2We only supply the Goods for domestic and private use. You agree not to use the Goods for any commercial, business or re-sale purposes, and subject to condition 17.3, we have no liability to You for any loss of profit, loss of business, business interruption, or loss of business opportunity.
    3. 17.3We do not in any way exclude or limit our liability for:
      1. 17.3.1death or personal injury caused by our negligence;
      2. 17.3.2fraud or fraudulent misrepresentation;
      3. 17.3.3any breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession);
      4. 17.3.4any breach of the terms implied by section 13 to 15 of the Sale of Goods Act 1979 (description, satisfactory quality, fitness for purpose and samples);
      5. 17.3.5defective Goods under the Consumer Protection Act 1987;
      6. 17.3.6any other liability that cannot be limited or excluded under applicable law. THESE TERMS AND CONDITIONS IN NO WAY AFFECT YOUR LEGAL RIGHTS AND YOU MAY HAVE OTHER RIGHTS AVAILABLE TO YOU UNDER LAW
  18. 18. HOW WE USE YOUR PERSONAL INFORMATION
    1. 18.1We will at all times comply with the terms of the Data Protection Act 1998 and We will only use Your personal information in accordance with Our Privacy Policy. For further information on how We use and protect personal data, please read Our Privacy Policy at http://farnell.com/raspberrypi-consumer/privacy-policy.html. Please take the time to read these, as they include important terms which apply to you.
    2. 18.2We intend to rely upon these Conditions and our Our Privacy Policy and Terms of Access in relation to the Contract between You and Us.
  19. 19. EVENT OUTSIDE OUR CONTROL
    1. 19.1We may not be able to carry out some of Our obligations because of something that is outside of Our reasonable control. This could include natural disasters, protests, fire, flood, storm, tempest, explosion, an act of terrorism, riot, civil commotion, national emergencies and any change in applicable law or regulation (an “Event Outside Our Control”).
    2. 19.2If an Event Outside Our Control happens We will not be responsible for the duration of the Event Outside of Our Control for failing to comply with Our obligations under these Conditions.
    3. 19.3We will try to minimise any effects arising from such circumstances, but if We have not managed to resolve the situation within the next calendar month of Us notifying You of any event described in condition 19.1 above, You or We may cancel the Contract without charge and We will return any monies You have paid to Us.
  20. 20. COMMUNICATIONS BETWEEN YOU AND US
    1. 20.1When We refer, in these Conditions, to "in writing", this will include e-mail.
    2. 20.2If You wish to contact Us in writing, or if any clause in these Conditions requires you to give Us notice in writing, You can send this to Us by e-mail or by pre-paid post to Farnell element14 at RaspberryQueryUK@farnell.com or Canal Road, Leeds, LS12 2TU. We will confirm receipt of this by contacting You in writing, normally by e-mail. If You are exercising Your right to cancel under condition 14, please see that condition 14 for how to tell Us this.
    3. 20.3If We have to contact You or give You notice in writing, We will do so by e-mail or by pre-paid post to the address You provide to Us in your Order.
  21. 21. OTHER IMPORTANT CONDITIONS
    1. 21.1Each of the rights or remedies under any Contract is independent to any other right or remedy under that or any other Contract.
    2. 21.2Each of the Conditions operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining Conditions will remain in full force and effect.
    3. 21.3No failure or delay by Us or You to exercise any right, power or remedy will operate as a waiver of it nor will any partial exercise preclude any further exercise of the same, or of some other right, power or remedy.
    4. 21.4We may assign, hold on trust, licence or sub-contract all or any part of Our rights or obligations under any Contract.
    5. 21.5You may only transfer Your other rights or Your obligations under these Conditions to another person if We agree in writing.
    6. 21.6Neither of Us intend that any of the terms of any Contract will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person not a party to it.
  22. 22. GOVERNING LAW AND JURISDICTION OF THE CONTRACT
    1. 22.1The Contract and all communications between You andUs will be conducted in the English language.
    2. 22.2The formation, existence, construction, performance, validity and all aspects whatsoever of the Contract (including in relation to any non-contractual obligations) will be governed by the law of England and Wales.
    3. 22.3The English courts will have non-exclusive jurisdiction to settle any disputes which may arise out of or in connection with the Contract (including in relation to any non-contractual obligations).
